General Terms and Conditions
1.Scope
These terms and conditions apply exclusively to business customers (B2B). Conflicting or deviating terms of the buyer shall not apply unless expressly agreed to in writing by MadriChem GmbH.
2.Conclusion of Contract
Our offers are non-binding. A contract is concluded only upon our written order confirmation or delivery of goods.
3.Prices and Payment
All prices are net ex works, plus applicable VAT. Payments shall be made by invoice within the agreed payment term. Discounts are granted only if expressly agreed.
4.Delivery and Transfer of Risk
Delivery terms are subject to individual agreement. Shipment is carried out by third parties at the buyer’s risk once the goods leave our or our logistics partner’s premises.
Delivery Times and Force Majeure
Indicated delivery times are non-binding unless otherwise agreed. Delays caused by force majeure, governmental actions, transport or supply issues, or other unforeseeable events release MadriChem GmbH from its delivery obligations for the duration of the disruption.
5.Retention of Title
The goods remain the property of MadriChem GmbH until full payment of all outstanding claims has been made.
6.Warranty and Liability
The buyer must inspect the goods immediately upon receipt and notify any defects in writing.
MadriChem GmbH shall only be liable for intent or gross negligence. Liability for indirect or consequential damages is excluded.
Product Liability and Use
Our products are intended for industrial or commercial use only. The buyer is responsible for proper handling, further processing, and compliance with applicable regulations in the destination country.
7.Withdrawal and Cancellation
MadriChem GmbH is entitled to withdraw from the contract if the buyer fails to pay despite reminder or if circumstances become known that raise doubts about the buyer’s solvency.
Cancellations require the written consent of MadriChem GmbH; any costs already incurred may be charged to the buyer.
8.Data Protection and Confidentiality
MadriChem GmbH processes personal data solely for the purpose of conducting the business relationship and in accordance with applicable data protection laws.
Product specifications, certificates of analysis and other technical information are confidential and may not be shared with third parties without written consent.
9.Export Control and Compliance
The buyer agrees to comply with all applicable export control laws, sanctions regulations, and compliance requirements. MadriChem GmbH may refuse delivery if a breach of such provisions is imminent.
10.Governing Law and Jurisdiction
German law shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Place of jurisdiction is Reinbek, Germany.
11.Language
These terms are provided in German and English. In case of doubt, the German version shall prevail.
