General Terms and Conditions

1. Scope

These Terms and Conditions apply exclusively to business customers (B2B) within the meaning of Section 14 of the German Civil Code (BGB). Conflicting or deviating terms and conditions of the buyer shall not apply unless expressly agreed to in writing by MadriChem GmbH.

2. Conclusion of Contract

Our offers are non-binding and subject to change. A contract shall only be concluded upon our written order confirmation or upon delivery of the goods.

3. Prices and Payment

All prices are net prices ex works and are subject to the applicable statutory value-added tax (VAT). Payments shall be made by invoice within the agreed payment period. Cash discounts shall only be granted if expressly agreed in writing.

4. Delivery and Transfer of Risk

Delivery terms shall be agreed individually. Shipments are carried out by authorized third parties at the buyer’s risk once the goods leave our warehouse or the premises of a commissioned logistics service provider.

Delivery Times and Force Majeure

Any delivery times stated are non-binding unless otherwise agreed. Delays caused by force majeure, governmental actions, transportation disruptions, supplier delivery problems, or other unforeseeable events shall release MadriChem GmbH from its delivery obligations for the duration of the disruption.

5. Retention of Title

The goods shall remain the property of MadriChem GmbH until all outstanding claims have been paid in full.

6. Warranty and Liability

The buyer must inspect the goods immediately upon receipt and notify any defects in writing without undue delay.

MadriChem GmbH shall only be liable for intentional misconduct and gross negligence. Liability for indirect damages, loss of profit, or consequential damages is excluded to the extent permitted by law.

Product Liability and Use

Our products are intended exclusively for industrial or commercial applications. The buyer is solely responsible for the proper use, handling, further processing, and compliance with all applicable legal and regulatory requirements in the destination country.

7. Withdrawal and Cancellation

MadriChem GmbH shall be entitled to withdraw from the contract if the buyer fails to make payment despite receiving a reminder or if circumstances become known that give rise to reasonable doubts regarding the buyer’s creditworthiness.

Any cancellation of an order requires the prior written consent of MadriChem GmbH. Costs already incurred may be charged to the buyer.

8. Data Protection and Confidentiality

MadriChem GmbH processes personal data solely for the purpose of conducting the business relationship and in accordance with applicable data protection laws.

Product specifications, certificates of analysis, and other technical information are confidential and may not be disclosed to third parties without prior written consent.

9. Export Control and Compliance

The buyer agrees to comply with all applicable export control laws, sanctions regulations, and compliance requirements. MadriChem GmbH reserves the right to refuse delivery if a violation of such regulations is likely to occur.

10. Governing Law and Jurisdiction

The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction shall be Reinbek, Germany.

11. Language

These General Terms and Conditions are provided in both German and English. In the event of any discrepancy or doubt regarding interpretation, the German version shall prevail.
